CORPORATE TRUST & TRANSPARENCY AGREEMENT

PURPOSE

K’SerraSerra® Counseling & Wellness LLC (hereinafter referred to as “the Company”) is committed to operating in the interest of public transparency, integrity, and accountability in all aspects of service delivery, business operations, and client engagement.

This “Corporate Trust & Transparency Agreement” is intended to provide clear, accurate, and non-misleading information regarding the nature of the Company’s services, professional scope, business practices, and client expectations, thereby allowing individuals to make fully informed decisions regarding engagement with the Company.

This document is made publicly available to support informed decision-making, foster ongoing community trust, and affirm the Company’s commitment to ethical and lawful business conduct in accordance with all applicable regulations and professional standards.

BUSINESS STRUCTURE

K’SerraSerra® Counseling & Wellness LLC (hereinafter referred to as “the Company”) is a limited liability company duly organized and existing under the laws of its state of registration.

The Company operates as a mission-driven organization providing accessible, culturally responsive, and integrative counseling and general wellness support services. These services are intended to encompass broadly applicable wellness and supportive activities and are not to be construed as implying a specialized clinical scope of practice unless separately identified, licensed, and authorized under applicable law.

The Company’s business structure is designed to ensure ethical service delivery, operational accountability, and sustainable growth, while upholding core values of trust, transparency, and inclusive care.

The Company offers a range of supportive, educational, and wellness-based services designed to promote whole-person well-being.

Non-Clinical Services

Counseling and Supportive Services

Counseling and supportive services are provided to individuals seeking emotional support, guidance, psychoeducation, spiritual care, and wellness-oriented services. These services are delivered by trained professionals and practitioners operating within the scope of their education, training, and professional background, including but not limited to social work, spiritual care, chaplaincy, and related disciplines.

Group and Community-Based Offerings

  • Group-based offerings, including workshops and support circles

  • Retreats (virtual and/or in-person), which may include structured programming, guided reflection, and community-based experiences

Clinical Services

Therapy services are provided only when explicitly identified as such and delivered by a licensed mental health professional—or by a mental health service provider operating under appropriate supervision—in accordance with applicable state laws and regulations. These services are supported by appropriate clinical documentation, which may include a documented diagnosis and a written treatment plan.

USE OF DIGITAL PLATFORMS

The Company utilizes digital tools and platforms to support scheduling, communication, documentation, and service delivery. Reasonable administrative, technical, and physical safeguards—including encryption and secure data practices—are implemented to protect personal information.

However, all electronic communication and data transmission involve inherent risks, and the Company cannot guarantee absolute security or confidentiality of information transmitted through digital platforms.

The Company is committed to maintaining privacy and confidentiality in alignment with applicable laws, ethical standards, and organizational policies. Additional details regarding the collection, use, storage, and protection of information are outlined in the Company’s Terms of Use and Privacy Policy and related data protection practices.

LEGAL DISCLAIMERS

⚠️ Clinical & Non-Clinical Service Distinction

The Company provides both clinical and non-clinical services, where designated. The distinction between these services is outlined below to support clarity, informed engagement, and appropriate use.

Therapy services are provided only when explicitly identified as such and delivered by a licensed mental health professional—or by a mental health service provider operating under appropriate supervision—in accordance with applicable state laws and regulations. Such services are supported by appropriate clinical documentation and a separate informed consent process.

Unless a service is clearly identified and agreed upon as therapy services, all other offerings—including but not limited to emotional support services, coaching, spiritual care, workshops, retreats, podcasts, blog content, and other educational materials—are non-clinical in nature and should not be construed as psychotherapy, treatment, medical care, or clinical services.

⚠️ Retreat and Group Experience Disclaimer

Retreats and group-based programs may involve extended engagement, structured activities, and interaction with other participants. These services are supportive and educational in nature and are not a substitute for licensed mental health treatment, medical care, or emergency services.

Participation in these programs is voluntary. Individuals are responsible for determining whether participation is appropriate for their personal, physical, and mental health needs.

Due to the group-based nature of these experiences, confidentiality of information shared by participants cannot be guaranteed. Participants are encouraged to exercise discretion when sharing personal information in group settings.

⚠️Crisis and Emergency Services Disclaimer

K’SerraSerra® Counseling & Wellness LLC (the “Company”) does not provide crisis intervention or emergency services.

While providers may be licensed professionals or individuals working toward licensure under the supervision of licensed professionals, as permitted by applicable law, services offered by the Company are not designed, intended, or structured to replace emergency crisis response, emergency medical or psychiatric care, 24/7 psychiatric services, crisis intervention services, or immediate access to hospitalization or other emergency supports.
